SEC Seeks to Introduce Universal Ballot for Contested Company Elections

The U.S. Securities and Exchange Commission is drafting recommendations for new rules to address proxy voting in contested company elections. Discussion began in early 2015 with a group of experts searching for solutions to increase shareholder participation in corporate elections. Shareholders who physically attend meetings are able to introduce new candidates for
election, but those voting through proxy are only able to support the management’s or shareholders’ selections. The SEC hopes to erase this issue by introducing a universal proxy ballot. SEC Chair Mary Jo White encouraged companies to start making progress now by giving “meaningful consideration to using some form of universal proxy ballot even though the proxy rules do not currently require it.” The process to draft and enforce this rule is ongoing.
